Terms of Service

AiN is currently in Early Access and pilot phase. The service is open free of charge for early adopters. Use of the service and all outputs is at the user's responsibility, subject to professional human review.

1. Definitions

  1. "Service" means the AiN Engine application at app.ain-engine.com, the marketing site at ain-engine.com, and any associated service.
  2. "Company" means Yaakov Avital Ltd., Reg. 516990173.
  3. "User" means any person or legal entity making use of the Service.
  4. "Output" means any deliverable produced by the Service, including BOQ files, Excel exports, reports and quantities.

2. Permitted Use

  1. Use of the Service for professional work by quantity surveyors, contractors, developers, tender managers and consultants.
  2. Review of BIM models, data extraction, initial BOQ creation and Excel export.
  3. Use of Service outputs after review and approval by a licensed quantity surveyor or engineer.

3. Mandatory Human Review

  1. The Service produces automated outputs from models. These outputs do not replace professional review.
  2. Every output must be reviewed and approved by a licensed QS or engineer before commercial, tender, invoice or financial decision use.
  3. The Company is not responsible for outputs used without human review.

4. Prohibited Use

  1. The Service may not be used for unlawful purposes.
  2. Reverse engineering, decompilation or scraping of the Service is prohibited.
  3. Uploading models that the User is not authorized to work with is prohibited.
  4. Presenting Service outputs as exclusively human-generated is prohibited.
  5. Presenting AiN as a replacement for a licensed QS, engineer or consultant is prohibited.

5. Current System Status

  1. The Service is under continuous development.
  2. The Service currently works well on concrete trades. Additional trades are under active development.
  3. AI in the Service assists explanation and review. It does not replace professional inspection.
  4. The Company may update, change, suspend or limit features at any time.

6. Limited Liability

  1. The Service is provided AS IS. The Company makes no warranties of reliability, accuracy or fitness for a specific purpose.
  2. The Company is not liable for direct, indirect, consequential or incidental damages arising from use or inability to use the Service.
  3. The Company's liability is limited to the amount paid by the User for the Service in the past 12 months, or zero if nothing was paid.
  4. The Company is not liable for errors in tender, invoice or any commercial action that relied on Service outputs without human review.

7. Intellectual Property

  1. All rights in the Service, code, algorithms, brands and materials belong to Yaakov Avital Ltd.
  2. Models uploaded by the User remain the User's property.
  3. Service outputs (BOQ, Excel, reports) may be used commercially by the User, subject to human review.

8. Privacy

The Privacy Policy is detailed in the Privacy Policy (Hebrew, binding version). Use of the Service constitutes consent to the policy.

9. Changes to Terms

  1. The Company may change these Terms at any time.
  2. Changes will be published on this page with an updated date.
  3. Continued use of the Service after a change constitutes consent to the new Terms.

10. Termination

  1. The User may stop using the Service at any time.
  2. The Company may limit or terminate the Service, generally or for a specific User, at its sole discretion.
  3. Termination does not release the User from limited liability obligations under Section 6.

11. Governing Law and Jurisdiction

  1. These Terms are governed by Israeli law.
  2. Exclusive jurisdiction is granted to the courts in Haifa or Tel Aviv, at the Company's choice.

12. Intended Purpose and Scope Limits

  1. The Service is intended for producing quantities, bills of quantities and cost estimates for pricing, quotation and tender purposes only.
  2. The Service is not intended for execution, contractor accounts, payment approval, construction control, design, binding engineering calculation, or building permit purposes.
  3. The Company does not correct drawings, specifications or design documents, and is not responsible for errors, omissions or contradictions originating in them.
  4. The Company's responsibility is limited to Service outputs only, and does not extend to the source documents fed into it.
  5. For site development and infrastructure work, quantities are computed only within a boundary the User has defined and marked in advance, because development drawings do not separate individual buildings.

13. Source of Prices and Estimates

  1. Prices and estimates produced by the Service are contractor market estimates only.
  2. They are not the Dekel price book, not the Blue Book (Israeli standard price list), and not any other binding price list.
  3. Use of a third-party price list is possible only if the User has entered or connected it themselves, subject to the licence the User holds for that price list.
  4. The Company does not supply, distribute or grant a licence to any third-party price list.

14. What Is Included and Work Beyond Scope

  1. A subscription includes the Service as available in the application, and support for product defects.
  2. Not included: training, guidance, customisation, meetings, review of outputs, answering professional questions on a specific project, handover, and any manual work.
  3. Such work is priced separately on an hourly basis, and is performed only after prior written approval of the number of hours.
  4. The tools, scripts, templates, databases and logic of the Service remain the property of the Company. The User receives the output, not the tool.
  5. In a paid project or pilot engagement beyond the subscription, payment terms are an advance on signing, the balance by milestones as a proportional share of the total per work package, and current month plus 30.

15. Insurance

  1. To the extent the Company holds insurance, it is professional indemnity insurance only.
  2. There is no employers' liability insurance and no separate third-party policy for the purposes of the Service.
  3. Policy limits are shared across all clients and are not cumulative per client.
  4. Any extension of insurance cover requested by a client, to the extent it is available at all, is purchased at the client's expense and paid in advance.

16. Mutuality

  1. Any right, remedy or protection drafted in these Terms in favour of one party shall be read as applying mutually to both parties, to the extent possible in context and under applicable law.
